Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the EventRun application and related services (the "Service"), provided by EventRun Technologies Limited, a company registered under the laws of the Federal Republic of Nigeria with registration number RC9712025 and registered address at Block 95, Plot 7, Omorinre Johnson Street ("EventRun", "we", "us" or "our").

EventRun is an enterprise tool that helps vendors manage bookings, track events, generate and send invoices, receive payment through invoices, manage inventory, and create custom links for vendor profiles, and for vendors to accept booking enquiries from clients.

By registering for, accessing, or using the Service, you (the "Vendor", "you" or "your") agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

  • "Account" means the Vendor account created to access the Service.
  • "End Client" means a customer or client of a Vendor who interacts with a booking, invoice, or custom client link generated through the Service.
  • "Content" means any data, text, images, or other material uploaded, entered, or generated by a Vendor through the Service, including event, booking, inventory and invoicing information.
  • "Subscription" means the paid plan through which a Vendor accesses the Service.

2. Eligibility

The Service is available only to individuals who are at least 18 years of age and to businesses validly registered or operating under applicable law. By creating an Account, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

3. Account Registration and Security

To use the Service, you must create an Account by providing your name, email address, business name, phone number, and a password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us promptly of any unauthorised use of your Account.

You agree to provide current, complete and accurate information when registering and to keep such information up to date.

4. Description of the Service

The Service allows Vendors to, among other things:

  • Create and manage bookings and track the status of events (including confirmation status);
  • Generate and send invoices to clients;
  • Receive payment from clients through invoices via Paystack;
  • Track and manage inventory; and
  • Create custom links through which End Clients can view information relating to their event.

We may add, modify, or remove features of the Service from time to time. We will endeavour to give reasonable notice of any change that materially reduces the functionality of the Service.

5. Subscription Plans, Fees and Billing

The Service is offered on a subscription basis, with the following plans (subject to change on notice as described below):

  • Growth (monthly): ₦15,000 per month.
  • Growth (yearly): ₦144,000 per year

Subscription fees are billed in advance for the applicable billing period and are exclusive of any applicable taxes unless stated otherwise. Prices are subject to change; we will provide reasonable advance notice of any price change before it takes effect for your next billing cycle.

Transaction and Payment Processing Fees

In addition to subscription fees, invoices processed for payment through the Service are subject to transaction fees. These consist of: (i) standard processing fees charged by Paystack, our third-party payment service provider, as set out in Paystack's own pricing terms; and (ii) an EventRun service fee of 1% of the payment amount, capped at ₦5,000 per invoice.

Both fees are deducted from the settled amount before payout, meaning the amount disbursed to you will reflect your invoice total less applicable Paystack fees and the EventRun service fee. These transaction fees apply regardless of your subscription plan and are separate from, and in addition to, your subscription fees.

6. Cancellation and Refunds

You may cancel your Subscription at any time from within your Account. Upon cancellation, your Subscription and access to paid features will remain active until the end of the then-current monthly or yearly billing period, after which it will not renew. Cancellation does not entitle you to a refund of any fees already paid, whether in full or pro-rated, except where required by applicable law.

7. Payment Processing and Dispute Handling

Payment processing

Online payments from your End Clients are processed through Paystack, a licensed third-party payment service provider. Your use of Paystack-powered payment features is also subject to Paystack's own terms of service and privacy policy, which you should review. Enabling online payment collection is optional; providing a bank account is required for invoice generation.

Dispute handling

Where an End Client raises a dispute or chargeback in respect of a payment made through the Service, EventRun will respond to the dispute on the platform's behalf, and you, as the Vendor, are responsible for providing evidence that the relevant goods, services, or value were delivered to the End Client. You must provide this evidence within eight (8) hours, the timeframe prescribed by these Terms.

  • If you fail to provide sufficient evidence that value was delivered within the applicable timeframe, the disputed amount may be debited from your Account balance or future settlements in favour of the End Client.
  • If an End Client raises a dispute that is not substantiated, or is found to have acted in bad faith, EventRun may, at its discretion, suspend that End Client's ability to transact on the platform.
  • Repeated or unresolved disputes against your Account may result in suspension or termination of your Account in accordance with the "Suspension and Termination" section below.

You acknowledge that EventRun's handling of disputes is undertaken to comply with obligations imposed by the CBN and by Paystack as our payment processing partner, and that these provisions may be updated from time to time to reflect changes in applicable regulatory requirements.

8. Vendor Content and Custom Client Links

You are solely responsible for the accuracy of the Content you upload or generate through the Service, including event details, booking information, invoices, and inventory records. You represent that you have all necessary rights and consents (including from your End Clients, where applicable) to submit such Content and to generate custom links through which End Clients can view event information.

You must not use custom client links or any other feature of the Service to share information you are not authorised to share, or in a manner that violates the privacy rights of any third party.

9. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation, including data protection, consumer protection, or anti-money laundering laws;
  • Submit false, misleading, or fraudulent booking, invoicing, or payment information;
  • Circumvent, disable, or interfere with the security or proper functioning of the Service;
  • Upload or transmit viruses, malware, or other harmful code;
  • Infringe the intellectual property or privacy rights of any third party; or
  • Use the Service to harass, defraud, or deceive any End Client or third party.

A breach of this section may result in immediate suspension or termination of your Account under the "Suspension and Termination" section below.

10. Intellectual Property

EventRun IP

The Service, including its software, design, trademarks, logos, and all underlying technology, is owned by EventRun or its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

Vendor content

As between you and EventRun, you retain ownership of the Content you submit to the Service. You grant EventRun a limited licence to host, store, process, and display your Content solely as necessary to provide the Service to you.

11. Third-Party Services

The Service integrates with third-party providers, including Paystack for payment processing, Supabase for data storage, Cloudflare R2 for file storage, Resend for email delivery, Firebase for push notifications, PostHog for analytics, and Sentry for error tracking. Your use of features involving these providers is also subject to their respective terms and policies. We are not responsible for the acts, omissions, or availability of third-party services, although we will use reasonable efforts to work with reputable providers.

12. Data Protection and Privacy

Our collection, use, and disclosure of personal data through the Service is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you also agree to process any End Client personal data you input in accordance with applicable data protection law, including the NDPA and GAID, and to have appropriate lawful bases and notices in place for your own collection and sharing of such data.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that it will meet your specific requirements.

14. Limitation of Liability

To the fullest extent permitted by applicable law, EventRun and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Service, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.

To the extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount of subscription fees paid by you to EventRun in the six (6) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless EventRun, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your Content, your violation of any law, or your interactions with any End Client.

16. Suspension and Termination

We may suspend or terminate your Account, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful activity, failed to pay applicable fees, or repeatedly failed to substantiate disputes raised against you as described in the "Payment Processing and Dispute Handling" section above.

You may terminate your Account at any time by cancelling your Subscription and ceasing use of the Service. Provisions of these Terms which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023, before a sole arbitrator appointed by agreement of the parties or, failing agreement, in accordance with the applicable rules.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, our practices, or applicable law. We will post the updated Terms on this page and revise the "Last updated" date above. Where changes are material, we will provide additional notice, such as an in-app notification or email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

19. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and EventRun regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
